01

Operator, scope, and acceptance

These Terms of Use (“Terms”) are between you and Leonardo Bilia, an independent developer operating under the Codeeze Apps umbrella brand (“Voxeze,” “we,” “us,” or “our”). They govern the Voxeze macOS app and its related website and services.

By downloading, purchasing, or using Voxeze, you accept these Terms. If you do not agree, do not use the app. These Terms supplement and do not replace Apple’s Standard Licensed Application End User License Agreement (“Apple Standard EULA”). If these Terms conflict with mandatory law or the Apple Standard EULA, the controlling mandatory provision applies.

02

Eligibility, platform, and license

You must be legally capable of entering this agreement. If you use Voxeze for an organization, you confirm that you have authority to bind it. A parent or guardian must supervise use by anyone who cannot legally consent.

Voxeze supports macOS 26 or later on Apple silicon, subject to compatible hardware, storage, languages, regions, and Apple framework availability. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use Voxeze on Apple-branded devices as permitted by the Apple Standard EULA and App Store rules.

03

Local-first behavior and cloud choices

Voxeze is designed to perform core transcription, editing, and speech work locally. Feature availability depends on the model, device, language, downloaded assets, and operating-system capabilities you select.

Cloud processing through OpenRouter is optional. Voxeze does not silently switch a local task to a cloud provider. If you configure a third-party provider, you are responsible for choosing it, supplying valid credentials or credits, understanding its terms and privacy practices, and determining whether the content is suitable to send.

04

Your recordings, projects, and outputs

As between you and Voxeze, you retain your rights in recordings, imported media, transcripts, edits, prompts, projects, generated speech, and other outputs. These Terms do not transfer ownership of your content to us.

You must have all permissions, notices, licenses, and lawful bases needed to record people and process third-party audio, video, text, voices, or other material. Recording, transcription, voice, employment, confidentiality, copyright, and data-protection rules vary by location. You are responsible for your use and for content you export or share.

05

Accuracy and human review

Transcription, diarization, translation, summarization, transcript chat, other AI-assisted analysis, and generated speech may be inaccurate, incomplete, misleading, biased, or unsuitable. Results vary by language, accent, noise, recording quality, model, prompt, and device.

Voxeze is not a medical, legal, financial, safety, accessibility-certification, or emergency service. Review important output against the source before relying on, publishing, filing, or acting on it. You remain responsible for decisions and consequences arising from your content and outputs.

06

OpenRouter and third-party services

Optional OpenRouter features may require your own OpenRouter account, API key, credits, and access to the model you select. OpenRouter and model providers may change prices, availability, rate limits, regions, output rules, retention practices, and terms without our control.

Your use of those services is also governed by their agreements. Voxeze does not sell or include OpenRouter credits, promise that a particular model will remain available, or assume responsibility for a provider’s content, downtime, billing, data handling, or conduct. Do not use a provider unless its practices are acceptable for your content.

07

Free and Premium features

The free experience includes Apple Speech and Whisper Base transcription, local speech with installed Apple voices, timed editing and playback, TXT/SRT/VTT export, and portable Voxeze projects, subject to device support.

Premium unlocks the current Premium feature set: downloadable Whisper Small and Large V3 Turbo models, multilingual Chatterbox speech, OpenRouter transcription and speech, Apple Intelligence transcript tools and chat on compatible Macs, batch workflows, Shortcuts, custom presets, and Markdown/PDF/JSON export.

Feature labels describe the current entitlement model, not an irrevocable promise that every model, provider, or operating-system integration will remain available forever. We may improve, replace, remove, or reorganize features where reasonably necessary, while respecting applicable consumer law and active purchase entitlements.

08

One-time Premium purchase

Premium is offered as a one-time lifetime unlock, not a recurring subscription. The expected reference price is around US$39.99, but the price shown by your local App Store applies and may include local currency, tax, or Apple pricing adjustments.

Apple processes payment and determines purchase, billing, tax, refund, and family-sharing rules. Refund requests are handled under Apple and applicable store rules. Restore Purchases uses the App Store receipt and entitlement systems; restoration requires the Apple account and conditions recognized by Apple and may require a network connection.

A lifetime entitlement means that a valid purchase remains recognized in supported versions of Voxeze for as long as we can provide that entitlement under applicable platform and store rules. It does not guarantee perpetual macOS compatibility, support for obsolete hardware, indefinite availability of every model, or uninterrupted access to Apple, OpenRouter, or any other third-party service.

09

Models, assets, compatibility, and updates

Some features require significant storage, model downloads, compatible languages, Apple Intelligence eligibility, network access, or third-party infrastructure. Downloaded assets may be removed by you and may need to be downloaded again after changes.

We may issue updates for security, compatibility, reliability, legal compliance, model licensing, or feature improvements. Continuing to use an updated version means accepting changes that form part of the service. We do not promise support for every macOS release, device, provider, or downloadable asset indefinitely.

10

Acceptable use

You may not use Voxeze to:

  • Break the law; violate privacy, publicity, confidentiality, intellectual-property, or contractual rights; or record people unlawfully.
  • Create or distribute deceptive impersonation, non-consensual intimate material, targeted abuse, or content intended to facilitate harm.
  • Bypass purchase validation, access controls, model restrictions, or technical protections; reverse engineer except where mandatory law expressly permits it.
  • Introduce malware, disrupt the app or related infrastructure, misuse provider credentials, or use automated means in a way that materially harms others or the service.

11

Voxeze intellectual property and notices

Voxeze, its visual identity, website, app code, interface, documentation, and original assets are owned by Leonardo Bilia or licensed to him and are protected by applicable law. No rights are granted except the limited license stated in these Terms.

Voxeze incorporates Apple frameworks, open-source software, downloadable models, and third-party services subject to their own licenses, notices, attribution, and usage conditions. Those terms continue to apply and may grant you additional rights. Third-party names and trademarks belong to their respective owners.

12

Warranties and liability

To the maximum extent permitted by law, Voxeze is provided “as is” and “as available.” We do not warrant uninterrupted operation, perfect accuracy, fitness for a particular purpose, continued provider or model availability, or that every defect will be corrected.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive losses; lost profits, business, data, recordings, or opportunities; or losses arising from inaccurate output, provider conduct, unauthorized recording, exported content, or incompatible updates.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including mandatory consumer guarantees or liability for fraud, willful misconduct, death, or personal injury where applicable. If mandatory law gives you stronger rights, those rights prevail.

13

Termination, governing law, changes, and contact

You may stop using Voxeze at any time. We may suspend related online functionality or terminate the license where you materially breach these Terms, misuse services, or where required by law, subject to applicable consumer rights. Provisions that by their nature should survive will survive termination.

These Terms are governed by Portuguese law, without depriving consumers of mandatory protections available in their country of residence. Portuguese courts have jurisdiction where lawfully permitted; consumers may also have rights to bring a claim in their home jurisdiction.

We may update these Terms when the product, law, or providers change. A revised version will show a new date, and material changes may be communicated through the app or another appropriate channel. Questions may be sent to codeeze@codeeze.com.
